CAW Network USA invites you to attend this exciting online event, Beyond Accounting – Sustainability in Transactions.

Addressing the issues of sustainability, including environmental, social and economic impacts of the transition to a net-zero economy, represents a key challenge for most organisations. Despite this, business activity continues, with the investment and divestment cycle remaining another fundamental part of organisations’ activities. Corporate acquisition and disposal transactions, including those that are private equity (PE) funded, are a fundamental part of many economies. The interrelationship between these two areas of focus, mergers and acquisitions / divestment and sustainability-related issues, is the subject of this report. Using the insights of nearly 50 accountancy and finance professionals from across the world, many of whom are members of ACCA or CA ANZ, this report provides a context for this interrelationship between sustainability and these major corporate transactions. The report is not a detailed explanation of the transaction process; rather, it is intended to support chief financial officers (CFOs) and their teams in identifying appropriate sustainability-related considerations during the investment and divestment workflows.

Three key messages from this report

  • Sustainability-related opportunities and risks cannot be ignored in a transaction: they now form a fundamental part of the strategic intent of the transaction and the valuation of an entity.
  • The assessment of these risks and opportunities must be comprehensively considered as part of the due diligence process, both as a specific workflow and as an integral part of other forms of due diligence.
  • Organisations need to ensure that they have an appropriate level of expertise across the transaction workflow and in relation to the target’s operations, assets and liabilities.

MEET THE SPEAKERS

Jayson

Jayson Poulton, FCA Chief Financial Officer, USA at Commonwealth Bank of Australia (CBA) and CA ANZ Councillor

Jayson is Chief Financial Officer, USA at Commonwealth Bank of Australia (CBA) based in New York. Having worked in public practice with BDO in Melbourne, he has spent much of his professional career internationally in financial services, with roles at MF Global and CBA in London, before relocating to New York.

Jayson has held various positions on committees and advisory bodies of CA ANZ, including Education Team Leader on the UK Overseas Member Committee and as the New York Tri-state Link Member Representative. Jayson is also a board member of Chartered Accountants Worldwide Network USA (CAW Network USA) as the CA ANZ Member Organisation Representative.

He is a qualified Financial and Operations Principal with the Financial Industry Regulatory Authority (FINRA) and holds a Bachelor of Commerce, Majoring Accounting and Business Law.

Charlotte Evett

Charlotte Evett FCA General Manager, New Zealand Regions, CA ANZ

Charlotte is a Chartered Accountant and has worked in the financial services, energy and public practice sectors in New Zealand the US and the UK. Charlotte contributes to Chartered Accountant ANZ’s thought leadership initiatives on a wide range of emerging trends ranging from AI, ethics and the future of finance to Blockchain technology.  Charlotte also leads CA ANZ’s member engagement and DEI teams in New Zealand and is also responsible for advocating in the public interest with New Zealand regulators and government on policy issues relevant to Chartered Accountants and the accounting profession.

Sid Chitnis

Sid Chitnis CA, CFA Managing Director and Partner in HCVT’s Advisory Services Practice.

Sid Chitnis CA, CFA is a Managing Director and Partner in the firm’s Advisory Services practice where he leads the M&A Advisory team. He brings over 17 years of experience advising private equity sponsors and private and publicly held companies on matters pertaining to mergers and acquisitions. Sid and the M&A Advisory team guide clients through the intricacies of sell-side and  buy-side transactions to achieve optimal outcomes. Their collective experience performing valuations, modeling, financial due diligence, tax, and accounting helps our team add value at each step of the process — pre and post-deal.

Sid has experience working across a wide range of industries, including consumer, food and beverage, retail, manufacturing, business services, and industrial. He also specializes in advising companies on brand intellectual property matters related to transactions and valuation. Prior to joining HCVT, Sid served as a director at Houlihan Lokey, a publicly traded global investment bank where he was a member of the Financial and Valuation Advisory practice which provides valuations and transactions advice to its clients. Earlier in his career, Sid held senior roles in corporate finance and advisory with Deloitte and Duff & Phelps, which is now Kroll.

Sid earned a Bachelor of Commerce degree in Accounting and Finance from the University of New South Wales, Sydney, Australia. He is a Chartered Financial Analyst (CFA) charter holder and a member of the CFA Institute. He is also a Chartered Accountant (CA) and a member of the Institute of Chartered Accountants in Australia. With CAW Network USA Sid is a voting board member and Director – Member Advocacy – West.
